Unless the context otherwise indicates, the following terms shall have the following meaning
"CLIENT" means the entity that has bought tokens to avail of Services from UCS.
“COMMENCEMENT DATE” shall mean the date on which UCS issues token against the advance payment by the Client.
"ORDER FORM" means the order form that specifies the client’s order for Products and/or Services.
"PARTY" means either UCS or Client and "Parties" means both UCS and Client.
“SUBSCRIPTION FEES” means the amount paid by the Client against which token for use against product or services is issued by UCS.
"SERVICES" mean services offered by UCS or its affiliates or subsidiaries or authorized service providers including but not limited to credit score reports, business information reports along with the necessary deliverables in accordance with the specifications provided in the order form.
“TOKEN” value denomination issued by UCS to the client against the subscription fees paid by the client, from time to time with a validity period of one year from the date of issue
“UCS” means the UCS entity issuing these T&Cs and its affiliates and assigns

UCS has created a comprehensive online platform for company search whereby UCS renders services as requested by clients from time to time. The services available on the UCS website are on pre-paid model and against the advance payment, however, to facilitate a seamless transaction, UCS will issue tokens to the Client against the advance payment, that in turn can be used by the client to avail the services enlisted on UCS website. UCS will issue a username and password for the client to maintain and use its account on the UCS website. UCS services to clients under these T&Cs shall be on a principal to principal basis. UCS will provide services as per the specifications and details provided by the client in the order form submitted by the client on the UCS website. The client may avail of such services by undertaking self-search through the wide range of database available on the UCS website or submit an order form to UCS to secure a specific service(s).
UCS will perform service in a timely manner and in compliance with the timelines as detailed under the respective order form, subject to any force-majeure condition. Any deliverable including any reports or credit score generated by UCS against the services shall be undertaken on a “best effort basis” and subject to caveats & limitations listed on the report and/or deliverable. UCS services will be provided with reasonable skill and care expected of a person providing similar services, UCS makes no other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. The reports or credit scores issued by UCS will be up-to-date as of the date of delivery, in compliance with the requirement of the client detailed under the order form, UCS will not be under any obligation to update the report or credit score. The client may seek an update of any report or credit score through the UCS website upon payment of applicable fees.
The arrangement under these T&Cs will start on the commencement date and expire with efflux of time on expiry of the validity period of tokens or utilization of batch of tokens by client issued under a single invoice, every fresh batch of tokens issued by UCS from time to time will be governed by similar terms, though would be considered a separate agreement.
All fees for the performance of the services shall be calculated in accordance with the fee structure set out in the Order Form which shall identify the number of tokens payable for the respective Service. Notwithstanding anything to the contrary, the fee paid will always be non-refundable and non-adjustable. Unless otherwise stated, the number of tokens for respective services will be deemed inclusive of any applicable tax.
The client will be issued tokens with denominations as listed on the UCS website, against the sum of money advanced by the client. The validity of the token will be one year from the date of issue. The unutilised tokens issued against the advance payment are not encashable. UCS will be under no obligation whatsoever to refund or adjust the number of unutilised tokens anytime during the lifespan of the token or after its expiry thereof. It will be the sole responsibility of the client to utilise tokens against the required services.
UCS will ensure confidentiality of client information or data and any exchange of information or data from client to UCS will be governed by Term of Use, Privacy Policy and other policies of UCS as displayed on the UCS website. The client will keep confidential any data, reports or credit scores or other deliverables from UCS. The reports and/or deliverables issued by UCS are for internal use of the client and will be treated as confidential information of UCS, which the client undertakes to keep strictly confidential.
The client acknowledges and confirms that UCS will not be liable for any direct, indirect, special, incidental, or consequential damages, or lost profits, however, caused, regardless of whether the Client is advised of the possibility of such damages.
The reports and/or deliverables of UCS are protected by copyright, subject to the right provided by UCS to Client to resell the said reports, however, Client is not permitted to allow any third party to adapt, alter, modify the reports without written permission from UCS. Further the right to resell the reports, if provided by UCS, is non-transferable and in that scenario, reports are made available to the Client for the end, the customer is provided solely for their internal use.
Neither party will assign, sub-license, sub-contract or transfer in whole or in part any of its interest or obligations under these T&Cs without the other party’s prior written consent.
It is understood and agreed that these T&Cs will be governed by the laws of India or the Laws of the country where the UCS serving entity is based and parties agree to the exclusive jurisdiction of the courts in New Delhi or courts of the country where the UCS serving entity is based, without regard to conflict of law rules.
No delay or failure by either party to exercise any right, power or remedy it has hereunder shall operate as a waiver of such right, power or remedy. A waiver by any party of any breach shall not be construed to be a waiver of any subsequent breach.
These T&Cs contain the entire agreement of the parties hereto and supersede all prior understandings and communications between the Client and UCS with regard to the provision of the product & services.
